1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Paxanimi, LLC ("Paxanimi," "we," "our," or "us") governing your access to and use of the Paxanimi website at paxanimi.ai (the "Site") and any information, features, or content offered through it.

By accessing or using the Site, you confirm that you are at least 18 years old, have the authority to bind yourself or the organization you represent, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Site.

These Terms apply to website use and initial engagement inquiries. Professional services delivered under a signed Statement of Work ("SOW") or Master Services Agreement ("MSA") are governed by those agreements, which take precedence over these Terms to the extent of any conflict.

Paxanimi provides enterprise professional services across six practice areas:

The Site is an informational resource and lead generation platform. Specific services are scoped, priced, and delivered pursuant to a separate SOW or MSA signed by both parties.

3. Acceptable Use of the Site

You may use the Site for lawful purposes consistent with these Terms. You agree not to:

• Access, probe, or test the Site's security systems, networks, or infrastructure without written authorization from Paxanimi.
• Scrape, crawl, or systematically extract data from the Site using automated tools.
• Submit false, misleading, or fraudulent information through any form on the Site.
• Use the Site to transmit malware, phishing content, or any code intended to disrupt, damage, or gain unauthorized access to any system.
• Impersonate Paxanimi, its employees, clients, or any other person or entity.
• Attempt to reverse-engineer, decompile, or extract source code from any portion of the Site.
• Use the Site in any manner that violates applicable federal, state, local, or international law.

We reserve the right to suspend or terminate access for any violation of these Terms, at our sole discretion and without prior notice.

Any non-public information you share with Paxanimi through the Site's contact form or during pre-engagement discussions — including information about your organization's security posture, technology environment, or business challenges — will be treated as confidential and used solely to evaluate and scope potential engagement opportunities.

Paxanimi employees and contractors are bound by confidentiality obligations. We will not disclose your confidential pre-engagement information to third parties without your consent, except as required by law.

Formal non-disclosure agreements (NDAs) and engagement-level confidentiality obligations are addressed in the applicable MSA or standalone NDA. Contact us at legal@paxanimi.ai to execute a mutual NDA prior to sharing sensitive technical or business information.

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Paxanimi does not warrant that: (a) the Site will be uninterrupted, error-free, or free of viruses or malicious code; (b) the information on the Site is complete, accurate, or current; or (c) any defects will be corrected. Information on the Site is for general informational purposes only and does not constitute professional security, legal, financial, or compliance advice.

Results described in case studies, testimonials, and performance metrics represent outcomes from specific client engagements and are not guarantees of future results. Individual outcomes will vary based on organizational context, implementation fidelity, and factors beyond Paxanimi's control.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PAXANIMI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, BREACH OF SECURITY (TO THE EXTENT CAUSED BY YOUR OWN FAILURE TO MAINTAIN ADEQUATE CONTROLS), OR COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL PAXANIMI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SITE (NOT INCLUDING CLAIMS ARISING FROM A SEPARATE ENGAGEMENT AGREEMENT) EXCEED ONE HUNDRED US DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

You agree to indemnify, defend, and hold harmless Paxanimi and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of or access to the Site in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party intellectual property or other rights; or (d) any fraudulent or false information you submit through the Site.

9. Third-Party Links & Services

The Site may contain links to third-party websites, publications, or tools. These links are provided for convenience only. Paxanimi does not endorse, control, or assume responsibility for the content, privacy practices, or accuracy of any third-party site. Your interactions with third-party sites are governed by their own terms and privacy policies.

The Site may also reference or integrate third-party tools or platforms (e.g., scheduling software, form processors). Your use of such tools may be subject to those providers' separate terms of service.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the District of Columbia and, where applicable, the laws of the State of Delaware (Paxanimi's state of organization), without regard to conflict of law principles.

11. Copyright Claims (DMCA)

If you believe that content on the Site infringes your copyright, please send a written notice to legal@paxanimi.ai containing: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material with sufficient detail for us to locate it; (c) your contact information; (d) a statement of good faith belief that the use is unauthorized; (e) a statement of accuracy under penalty of perjury; and (f) your physical or electronic signature.

We will respond to valid DMCA takedown notices in accordance with applicable law.

12. Modifications to Terms and Site

Paxanimi reserves the right to modify these Terms at any time. We will notify you of material changes by updating the Effective Date above and, where appropriate, providing notice on the Site or via email. Your continued use of the Site after the revised Terms are posted constitutes acceptance of the changes.

We may modify, suspend, or discontinue any portion of the Site at any time without notice or liability. We are not obligated to maintain or update any content on the Site.

13. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any executed MSA or SOW, constitute the entire agreement between you and Paxanimi with respect to your use of the Site, superseding any prior agreements.
• Severability: If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
• No Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. Paxanimi may assign these Terms freely, including in connection with a merger or acquisition.
• Force Majeure: Neither party shall be liable for delays or failures resulting from causes beyond its reasonable control, including acts of God, government orders, cyberattacks on critical infrastructure, or telecommunications failures.
• Headings: Section headings are for convenience only and have no legal effect.
